Companies House keeps accurate, up-to-date information about all limited companies on record and this information is available to anyone who wants to know about the Company.

Companies House need to know:

  • The Registered address (which is where they will send all letters and reminders for your Residents Management Companies - RMC) if the registered address is changed and Companies House are not notified you could find that you will not receive reminders and your RMC could be dissolved without your knowledge
  • Who runs the RMC and the details of the RMC’s officers.
  • Who owns shares in the RMC? The particulars of the shareholders (with RMC’s it is usually the leaseholders).
  • Where the company keeps certain company registers.
  • What rules govern a company?
  • Its memorandum and articles of association
  • What is a company's financial year-end?
  • Details of the company's accounts?

Most of this information is registered at Companies House when a company is first formed and, if anything changes, forms can be filed to make the adjustments. An annual return will also be required which is a snapshot of the information held with Companies House at least once every 12 months.
Every year, a company must prepare and file accounts.
